These Terms of Use ("Terms") govern your access to and use of the Access Installs website, customer account, door configurator, quoting tools and related online services (collectively, the "Platform").

The Platform is operated by 1001167614 ONTARIO INC., carrying on business as ACCESS INSTALLS ("Access Installs", "we", "us" or "our").


By using our Services, you agree to these Terms.

1. Purpose of the Platform

The Platform is intended to help customers identify door, frame, and hardware requirements, configure potential solutions, provide project information, obtain preliminary pricing, arrange site assessments and communicate with Access Installs.

The Platform is a quoting and project-planning tool. Unless expressly stated otherwise, configuring a door or receiving pricing through the Platform does not constitute a final quotation, construction contract or commitment by Access Installs to supply or install any product.

Any supply or installation work will be subject to the applicable quotation, scope of work, payment terms and other project-specific terms accepted by the customer.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into contracts to use the Platform.

If you use the Platform on behalf of a company, property owner, general contractor, property manager or other organization, you represent that you have authority to act on its behalf and to provide the project information submitted through the Platform.

3. Customer Accounts

You are responsible for:

  • providing accurate and current account information;

  • maintaining the confidentiality of your login credentials;

  • all activity occurring through your account; and

  • promptly notifying Access Installs if you believe your account has been accessed without authorization.

You may not impersonate another person, create an account using false information or allow another person to use your account in a manner that violates these Terms.

4. Information You Provide

The accuracy of the configurator depends on the information provided to Access Installs. You are responsible for providing reasonably accurate information concerning the project, including, where applicable:

  • project and property information;

  • door locations and quantities;

  • photographs and videos;

  • existing door, frame and hardware conditions;

  • dimensions or measurements;

  • desired door and hardware configurations;

  • building use and access requirements; and

  • any known fire-rating, accessibility, security or other special requirements.

You represent that you have the right to provide any photographs, plans, documents or other materials uploaded to the Platform.

Access Installs may rely on information you provide when preparing preliminary pricing or recommendations. Inaccurate, incomplete or outdated information may result in changes to the proposed products, scope, price or installation requirements.

5. Measurements and Site Verification

Measurements, selections, and configurations entered into or generated by the Platform may require verification by Access Installs before products are ordered or installation begins.

Where Access Installs requires a site assessment, field measurement, or other verification, the results of that assessment will take priority over dimensions, configurations, or assumptions previously entered into the Platform.

Following verification, Access Installs may revise the proposed:

  • products;

  • dimensions;

  • door handing or swing;

  • frame configuration;

  • hardware;

  • scope of work;

  • installation methodology;

  • price; and

  • anticipated schedule.

A customer will have an opportunity to review and accept any revised quotation before Access Installs proceeds where customer approval is required.

6. Preliminary Pricing and Quotations

Prices displayed or generated through the configurator are preliminary estimates unless expressly identified as a final quotation.

Preliminary pricing may be based on assumptions regarding existing site conditions, measurements, product availability, installation conditions, labour requirements and the information supplied by the customer.


Pricing may change following site verification or discovery of conditions that were not reasonably identifiable from the information initially provided.


No product will be ordered and no installation work will be performed solely because a customer created a configuration or received preliminary pricing through the Platform.

7. Product Images and 3D Visualizations

Product images, digital renderings, 3D models, illustrations and other visualizations available through the Platform are provided to assist with product selection and project visualization.

They are illustrative only and may not perfectly represent the final product. Actual products may differ in colour, texture, finish, proportion, hardware placement or other visual characteristics.

Manufacturer specifications and the final accepted quotation will govern where there is a discrepancy between a visualization and the products specified for a project.

8. Building Code, Fire, Accessibility, and Other Requirements

The Platform may identify or suggest products commonly used for particular applications. These suggestions are not architectural, engineering, fire-protection or other professional advice.

Building conditions and regulatory requirements vary by property and application.


Where applicable, final product selection may be subject to requirements arising from building codes, fire codes, accessibility requirements, approved drawings, specifications, authorities having jurisdiction or other applicable requirements.

Access Installs may revise or decline a requested configuration where it determines that further information, professional review or a different product is required.

Nothing in the Platform should be interpreted as a representation that a customer-selected configuration automatically satisfies every code, fire-rating, accessibility, egress, security or other regulatory requirement applicable to a particular property.

9. Existing and Concealed Conditions

Door replacement and installation work may be affected by conditions that cannot reasonably be determined through the configurator or an initial visual review. These may include concealed wall conditions, damaged framing, structural deficiencies, electrical wiring, security systems, access-control wiring, hazardous materials, unusual anchoring conditions or other unforeseen site conditions.

Any work required because of such conditions may be treated as additional work and, where applicable, will be communicated to the customer before proceeding.

10. Payments

Certain services offered through the Platform may require payment or pre-authorization, including site assessments, deposits or project balances.

The amount, timing, refundability and application of any payment will be disclosed to you before the applicable transaction is completed and may also be governed by the applicable quotation or invoice.

Payment information may be processed through third-party payment service providers. Access Installs does not store payment-card information on its own systems.

11. Scheduling

Any installation date identified as tentative, estimated, or similar is not guaranteed.

Installation schedules may depend on product availability, manufacturing lead times, customer approvals, payment requirements, site readiness, installer availability, weather, access to the property and other factors.

A date becomes confirmed only when Access Installs expressly confirms it as the scheduled installation date.

12. Customer Responsibilities

You are responsible for ensuring that Access Installs has reasonable and safe access to the work area at the agreed time.

Depending on the project, this may include ensuring that:

  • the work area is accessible;

  • occupants or building management have authorized the work;

  • required parking, loading and elevator access are available;

  • security or access arrangements have been made;

  • furniture or obstructions have been removed where necessary; and

  • Access Installs has been informed of known hazards or special site requirements.

Additional costs caused by unavailable access, inaccurate customer information, or site conditions outside the agreed scope may be added to the project where permitted by the applicable agreement and law.

13. Acceptable Use

You may use the Platform only for legitimate purposes relating to obtaining, managing or evaluating Access Installs products and services.

You must not:

  • interfere with the operation or security of the Platform;

  • attempt to gain unauthorized access to the Platform or another customer's account;

  • scrape, copy or systematically extract Platform content or pricing;

  • reverse engineer or attempt to reproduce the configurator or its underlying technology;

  • upload malicious software or harmful content;

  • use automated systems to overload or abuse the Platform; or

  • use the Platform for fraudulent, unlawful or misleading purposes.

14. Intellectual Property

The Platform and its content, including its software, configurator logic, graphics, interfaces, product presentation, 3D models, photographs, text, branding and other materials supplied by Access Installs are owned by Access Installs and are protected by applicable intellectual property laws.

Access Installs grants you a limited, non-exclusive, non-transferable and revocable right to use the Platform for its intended purpose.

No ownership rights are transferred to you.

15. Customer Content

You retain ownership of photographs, drawings, documents and other materials you upload to the Platform.

You grant Access Installs a non-exclusive licence to store, reproduce, analyze and use those materials to the extent reasonably necessary to:

  • operate the Platform;

  • prepare quotations;

  • assess project requirements;

  • supply and install products;

  • communicate with you;

  • maintain project records; and

  • provide customer service and warranty support.

Our handling of personal information is also governed by our Privacy Policy.

16. Electronic Communications

You agree that Access Installs may communicate with you electronically regarding your account, quotations, assessments, payments, orders, installation scheduling, project status, warranties and other matters relating to services you request.

Transactional and project-related communications are separate from consent to receive promotional or marketing communications.

Access Installs will obtain any additional consent required before sending marketing communications.

17. Platform Availability

We aim to keep the Platform available and accurate but do not guarantee uninterrupted or error-free operation.


We may update, modify, suspend or discontinue portions of the Platform from time to time, including product options, features and functionality.

Where practicable, material changes affecting an active customer transaction will be addressed through the applicable quotation or project communication.

18. DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS AVAILABLE" BASIS.

ACCESS INSTALLS DOES NOT WARRANT THAT:

  • THE PLATFORM WILL ALWAYS BE UNINTERRUPTED OR ERROR-FREE;

  • EVERY PRODUCT DISPLAYED WILL REMAIN AVAILABLE;

  • PRELIMINARY PRICING WILL EQUAL THE FINAL PROJECT PRICE;

  • CUSTOMER-ENTERED MEASUREMENTS OR SELECTIONS ARE CORRECT; OR

  • A CONFIGURATION CREATED WITHOUT SITE VERIFICATION IS SUITABLE FOR INSTALLATION.

NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY, CONDITION, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE CONSUMER PROTECTION OR OTHER LEGISLATION.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCESS INSTALLS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSSES ARISING FROM OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ACCESS INSTALLS ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ACCESS INSTALLS THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, AND (B) CAD $100.

ACCESS INSTALLS IS NOT RESPONSIBLE FOR LOSSES RESULTING FROM INACCURATE INFORMATION SUPPLIED BY A USER, UNAUTHORIZED USE OF A USER'S ACCOUNT, OR RELIANCE ON A PRELIMINARY CONFIGURATION THAT HAS NOT BEEN VERIFIED OR APPROVED BY ACCESS INSTALLS.

20. Suspension or Termination

Access Installs may suspend or terminate access to the Platform where reasonably necessary because of:

  • a breach of these Terms;

  • suspected fraud or unauthorized activity;

  • misuse of the Platform;

  • security concerns; or

  • discontinuance of the Platform.

You may stop using the Platform at any time.

Termination of a Platform account does not automatically cancel an accepted quotation, order, outstanding invoice or other existing agreement between you and Access Installs.

Following termination or closure of a Platform account, Access Installs may retain, archive or delete customer content and account information in accordance with its Privacy Policy, applicable record-keeping requirements and any active quotation, order or project. 

Access Installs is not required to retain customer content indefinitely, and you are responsible for keeping your own copies of any materials you upload.

21. Changes to These Terms

Access Installs may update these Terms from time to time.

The version applicable to a particular use of the Platform will be the version presented or otherwise made available to you at the relevant time.

Where required by applicable law, we will provide notice or obtain additional consent before material changes become binding.

Where Access Installs makes material changes to these Terms that affect your continued use of the Platform, it will present the updated Terms and ask you to accept them before you continue to use the Platform. 

Your continued use after an update is presented, together with any requested acceptance, constitutes agreement to the updated Terms.

22. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

23. Automated and AI-Assisted Tools

Parts of the Platform, including the chat-based intake, configurator and quoting features, use automated and artificial-intelligence (AI) tools, which may include third-party AI service providers, to interpret your inputs, suggest configurations and generate preliminary pricing and recommendations.

These tools are provided to assist you and are not a substitute for professional advice or for verification by Access Installs. Automated and AI-generated outputs may be incomplete or inaccurate, may not reflect current products, availability, pricing or site conditions, and are suggestions only. Access Installs does not warrant the accuracy of any automated or AI-generated output, and final products, scope and pricing are determined in accordance with Sections 5, 6 and 8 and the applicable quotation.

24. INDEMNITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY AND HOLD HARMLESS ACCESS INSTALLS AND ITS PERSONNEL FROM AND AGAINST ANY THIRD-PARTY CLAIMS, LOSSES, DAMAGES, LIABILITIES AND REASONABLE EXPENSES (INCLUDING LEGAL FEES) ARISING FROM OR RELATING TO: (A) CONTENT OR MATERIALS YOU UPLOAD TO THE PLATFORM, INCLUDING ANY CLAIM THAT THEY INFRINGE OR MISUSE THE RIGHTS OF A THIRD PARTY; (B) YOUR BREACH OF THESE TERMS, INCLUDING THE AUTHORITY REPRESENTATION IN SECTION 2; (C) YOUR VIOLATION OF THE ACCEPTABLE-USE REQUIREMENTS IN SECTION 13; OR (D) INACCURATE OR MISLEADING INFORMATION YOU PROVIDE THROUGH THE PLATFORM.

THIS SECTION DOES NOT APPLY TO THE EXTENT A CLAIM ARISES FROM ACCESS INSTALLS’ OWN NEGLIGENCE OR WILFUL MISCONDUCT, AND DOES NOT LIMIT ANY NON-WAIVABLE RIGHT OR REMEDY AVAILABLE TO YOU UNDER APPLICABLE LAW. ACCESS INSTALLS WILL NOTIFY YOU OF ANY CLAIM FOR WHICH IT SEEKS INDEMNIFICATION AND MAY, AT ITS OPTION, PARTICIPATE IN ITS DEFENCE.

25. General

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure by Access Installs to enforce a provision of these Terms does not waive its right to enforce that provision later.

Access Installs may assign or transfer its rights and obligations under these Terms, including to an affiliate, successor or a regional operator engaged to deliver services in a particular area, without your consent. You may not assign or transfer your rights or obligations under these Terms without Access Installs’ prior written consent.

Any provision of these Terms that by its nature should survive termination will survive, including the Intellectual Property, Customer Content, Automated and AI-Assisted Tools, Limitation of Liability and Indemnity provisions and this General section.

The Platform may rely on or link to third-party services, including payment processors and hosting and AI service providers. Access Installs is not responsible for third-party services, and your use of them may be subject to their own terms and privacy practices.

These Terms, together with the Privacy Policy and any other terms expressly incorporated into them, constitute the agreement governing your use of the Platform. Product purchases, site assessments and installation services may be governed by additional quotations, invoices, agreements or transaction-specific terms.

Site Assessment Terms

These Site Assessment Terms ("Assessment Terms") apply when you request a site assessment, field measurement or related site visit from 1001167614 ONTARIO INC., carrying on business as ACCESS INSTALLS ("Access Installs", "we", "us" or "our").

By requesting a site assessment and paying the applicable Site Assessment Fee (the "Assessment Fee"), you agree to these Assessment Terms.

1. Purpose of the Site Assessment

The site assessment is performed to allow Access Installs to verify information relevant to a potential door, frame, hardware or related installation project and to prepare or revise a quotation.

Depending on the project, the assessment may include:

  • measuring existing door openings, doors, frames and related components;

  • reviewing door handing, swing, and configuration;

  • identifying existing hardware and visible conditions;

  • taking photographs or other project records;

  • reviewing reasonably accessible installation conditions;

  • confirming information previously provided through the Access Installs Door Configurator or otherwise provided by the customer; and

  • collecting other information reasonably required to determine the proposed products, installation scope and pricing.

The specific activities required will depend on the project and site conditions.

2. Assessment Fee

The Assessment Fee is the amount displayed to you before payment, plus applicable taxes.

The Assessment Fee is charged for Access Installs' time, travel, site attendance, measurement and assessment services.

The Assessment Fee is separate from the price of any products or installation services subsequently quoted by Access Installs.

Unless Access Installs expressly states otherwise in writing, the Assessment Fee will not be credited against a future product purchase or installation contract.

Payment of the Assessment Fee does not constitute a deposit toward a door or hardware purchase and does not obligate you to proceed with any subsequent quotation.

3. Payment and Appointment Booking

Payment of the Assessment Fee may be required before an assessment appointment is scheduled or confirmed.

An appointment is not confirmed until Access Installs provides confirmation of the scheduled assessment date or time window.

Payment of the Assessment Fee does not guarantee any particular installation date, product availability or project completion date.

4. Cancellation and Rescheduling by the Customer

You may request that an assessment appointment be cancelled or rescheduled by contacting Access Installs.

Where at least 24 hours' notice is provided before the scheduled appointment, you may:

  • reschedule the assessment without an additional Assessment Fee; or

  • cancel the assessment and receive a refund of the Assessment Fee.

Where less than 24 hours' notice is provided, Access Installs may retain the Assessment Fee as a late cancellation charge to account for reserved technician time and mobilization. Access Installs may, at its discretion, apply the amount toward a rescheduled assessment.

If Access Installs attends the site at the scheduled time but is unable to perform the assessment because access is unavailable, the customer or site representative is absent, or the site is not reasonably accessible or ready for assessment, the appointment may be treated as a missed appointment and an additional Assessment Fee may be required before another visit is scheduled.

Any late cancellation or missed appointment charge is a good-faith estimate of Access Installs’ reserved technician time and mobilization costs and is not a penalty.

5. Cancellation by Access Installs

If Access Installs is unable to attend the scheduled assessment, Access Installs will offer to reschedule the appointment.

If Access Installs cancels the assessment and a mutually acceptable replacement appointment cannot be arranged, the Assessment Fee will be refunded.

Refunds of the Assessment Fee under these Assessment Terms will be made to the original method of payment within a reasonable time, or as otherwise required by applicable law.

6. Customer Site-Access Responsibilities

You are responsible for ensuring that Access Installs has reasonable access to the areas requiring assessment at the scheduled time.

This includes, where applicable:

  • obtaining permission from the owner, landlord, property manager or other person controlling the property;

  • arranging building, security or loading access;

  • providing access to all doors and openings requiring assessment;

  • informing Access Installs of applicable site rules or security requirements;

  • ensuring that the relevant work areas are reasonably accessible; and

  • advising Access Installs in advance of known hazards or unusual site conditions.

You represent that you are authorized to permit Access Installs to enter the property and perform the assessment.

7. Nature and Limitations of the Assessment

The site assessment is a non-destructive assessment unless Access Installs expressly agrees otherwise.


Access Installs is generally assessing visible and reasonably accessible conditions. The assessment does not include opening walls, removing finishes, destructive investigation or investigation of concealed building conditions unless specifically agreed.

Conditions that may not be identifiable during an ordinary assessment include, without limitation:

  • concealed deterioration or corrosion;

  • hidden framing or structural conditions;

  • concealed anchors;

  • electrical or access-control wiring;

  • hazardous materials;

  • concealed fire-protection components;

  • conditions behind walls, frames or finishes; and

  • other conditions that cannot reasonably be observed without destructive investigation.

If previously unknown conditions are discovered later, Access Installs may revise its proposed scope, products, installation methodology, pricing or schedule.

8. Measurements

Measurements taken during the site assessment are collected primarily for the purpose of allowing Access Installs to prepare its quotation and, where a quotation is subsequently accepted, perform the contemplated work.

Access Installs will use reasonable care in obtaining measurements relevant to its proposed scope. Measurements are based on the conditions existing and reasonably observable at the time of the assessment.

If the opening, wall construction, flooring, ceiling, hardware, finishes or other relevant site conditions change after the assessment, you must notify Access Installs. Additional measurement or assessment may be required and may be subject to an additional fee.

9. No Third-Party Reliance

Unless Access Installs expressly agrees otherwise in writing, measurements, photographs, notes and other information collected during the assessment are prepared for Access Installs' own quotation, procurement and installation purposes.

They are not intended to constitute certified measurements, architectural drawings, engineering documents, shop drawings or survey information for use by other contractors, suppliers or third parties.

Access Installs is not responsible for third-party work, fabrication or purchasing decisions made in reliance on assessment information that Access Installs did not specifically authorize for that purpose.

10. No Building Code or Professional Certification

The site assessment is not a building inspection, engineering inspection, architectural review, fire-safety inspection or regulatory certification.

Access Installs may identify apparent conditions or requirements relevant to its work, but the Assessment Fee does not include professional architectural, engineering, environmental or code-consulting services.

Where additional professional review, permits, approvals or investigation are required, they may need to be obtained separately.

11. Preliminary Configurator Information

Where you previously created a configuration or received preliminary pricing through the Access Installs Door Configurator, the site assessment is intended to verify or supplement the information used in that preliminary configuration.

Information obtained during the assessment may result in changes to:

  • product selection;

  • door or frame dimensions;

  • handing or swing;

  • hardware;

  • frame configuration;

  • installation requirements;

  • quantities;

  • scope of work;

  • pricing; or

  • Scheduling.

The revised quotation issued after the assessment will take precedence over preliminary configurator pricing or assumptions.

12. No Obligation to Proceed

The site assessment does not obligate you to purchase products or installation services from Access Installs. Similarly, completion of the assessment does not obligate Access Installs to accept or perform the proposed project.

Access Installs may decline to provide a quotation or perform work where, for example, the proposed work is outside its scope of services, cannot reasonably be performed, presents unacceptable safety or site conditions, requires unavailable products or requires professional services or approvals outside Access Installs' scope.

Where the assessment has been performed, the Assessment Fee remains payable even if no subsequent installation contract is entered into.

13. Quotation Following Assessment

Following the assessment, Access Installs may issue a new or revised quotation reflecting the conditions and measurements identified during the site visit.

The quotation will set out the applicable products, services, pricing and other project-specific terms.

The quotation is a separate transaction from the site assessment.

No obligation to supply products or perform installation work arises until the applicable quotation or other project agreement has been accepted in accordance with Access Installs' requirements.

14. Photographs and Project Records

Access Installs may take reasonable photographs, measurements, notes and other records of the relevant doors, openings, hardware and surrounding work areas for quotation, procurement, installation, project administration, warranty and record-keeping purposes.

Personal information collected in connection with the assessment will be handled in accordance with the Access Installs Privacy Policy.

15. Unsafe or Inaccessible Conditions

Access Installs may refuse to begin or may discontinue an assessment where its representative reasonably determines that:

  • the site is unsafe;

  • required areas cannot be accessed;

  • hazardous materials or conditions may be present;

  • site rules prevent the assessment from being properly completed; or

  • continuing the assessment could reasonably create a risk of injury or property damage.

Where reasonably possible, Access Installs will advise you of the issue and determine whether the assessment can be rescheduled or completed after the condition has been addressed.

16. Changes Requiring a Further Site Visit

A further assessment may be required where:

  • the customer changes the requested scope;

  • additional doors or openings are added;

  • relevant site conditions change;

  • construction work alters previously measured openings;

  • previously inaccessible areas must be assessed;

  • information necessary to complete the quotation was unavailable during the original visit; or

  • Access Installs reasonably determines that further verification is required before ordering or installation.

Access Installs will advise you if an additional Assessment Fee applies before scheduling a chargeable additional visit.

17. LIMITATION REGARDING ASSESSMENT INFORMATION

ACCESS INSTALLS WILL PERFORM THE ASSESSMENT WITH REASONABLE CARE.

ACCESS INSTALLS IS NOT RESPONSIBLE FOR INACCURACIES RESULTING FROM CONCEALED CONDITIONS, CHANGES MADE AFTER THE ASSESSMENT, INACCURATE INFORMATION SUPPLIED BY THE CUSTOMER OR CONDITIONS THAT COULD NOT REASONABLY HAVE BEEN IDENTIFIED THROUGH THE AGREED SCOPE OF ASSESSMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ACCESS INSTALLS ARISING FROM OR RELATING TO THE ASSESSMENT OR THESE ASSESSMENT TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF THE ASSESSMENT FEE YOU PAID FOR THE RELEVANT ASSESSMENT, AND (B) CAD $500. 

18. ON-SITE RISK AND PROPERTY DAMAGE

ACCESS INSTALLS WILL TAKE REASONABLE CARE WHILE ATTENDING YOUR SITE. SUBJECT TO SECTION 17, ACCESS INSTALLS REMAINS RESPONSIBLE FOR PHYSICAL DAMAGE TO THE PROPERTY THAT IS DIRECTLY CAUSED BY THE NEGLIGENCE OR WILFUL MISCONDUCT OF ACCESS INSTALLS OR ITS PERSONNEL DURING THE ASSESSMENT.

YOU REMAIN RESPONSIBLE FOR THE CONDITION OF THE SITE AND FOR HAZARDS OR CONDITIONS THAT YOU HAVE NOT DISCLOSED TO ACCESS INSTALLS. ACCESS INSTALLS IS NOT RESPONSIBLE FOR LOSS, DAMAGE OR INJURY ARISING FROM UNDISCLOSED SITE CONDITIONS, INACCURATE ACCESS OR HAZARD INFORMATION PROVIDED BY YOU, OR THE ACTS OF OTHER PARTIES PRESENT AT THE SITE.

IF ACCESS INSTALLS IDENTIFIES A CONDITION THAT MAKES THE ASSESSMENT UNSAFE OR IMPRACTICAL, SECTION 15 APPLIES.

19. INDEMNITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY AND HOLD HARMLESS ACCESS INSTALLS AND ITS PERSONNEL FROM AND AGAINST ANY THIRD-PARTY CLAIMS, LOSSES, DAMAGES, LIABILITIES AND REASONABLE EXPENSES (INCLUDING LEGAL FEES) ARISING FROM OR RELATING TO: (A) YOUR BREACH OF THE AUTHORIZATION REPRESENTATION IN SECTION 6, INCLUDING ANY CLAIM BY AN OWNER, LANDLORD OR OCCUPANT THAT ACCESS INSTALLS WAS NOT AUTHORIZED TO ENTER THE PROPERTY; (B) HAZARDS OR SITE CONDITIONS THAT YOU FAILED TO DISCLOSE; (C) INACCURATE OR MISLEADING INFORMATION YOU PROVIDE IN CONNECTION WITH THE ASSESSMENT; OR (D) YOUR BREACH OF THESE ASSESSMENT TERMS. THIS SECTION DOES NOT APPLY TO THE EXTENT A CLAIM ARISES FROM ACCESS INSTALLS’ OWN NEGLIGENCE OR WILFUL MISCONDUCT.

20. Relationship to Other Access Installs Terms

These Assessment Terms supplement Access Installs’ Terms of Use and Privacy Policy.

If there is a conflict between these Assessment Terms and the Terms of Use regarding the site assessment service or fee, these Assessment Terms will govern.

Any subsequent supply and installation of products will be governed by the applicable Final Quotation and Access Installs’ Supply and Install Terms & Conditions. In the event of a conflict relating to the supply or installation of the Work, the Final Quotation and Supply and Install Terms & Conditions will govern.

21. Governing Law

These Assessment Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

22. General

Access Installs may assign or transfer its rights and obligations under these Assessment Terms, including to an affiliate, successor or a regional operator engaged to deliver services in a particular area, without your consent. You may not assign or transfer your rights or obligations without Access Installs’ prior written consent.

Any provision of these Assessment Terms that by its nature should survive completion of the assessment or termination will survive, including the On-Site Risk and Property Damage, Limitation Regarding Assessment Information, Indemnity and Governing Law provisions.

If any provision of these Assessment Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure by Access Installs to enforce a provision does not waive its right to enforce it later.

These Supply and Install Terms & Conditions (the “T&Cs”) apply to the supply and installation work described in the Final Quotation issued by 1001167614 ONTARIO INC., carrying on business as ACCESS INSTALLS (“Access Installs”), to the customer identified in the Final Quotation (the “Customer”).

The Final Quotation, any attached opening or product schedule, these T&Cs, and any accepted written change, form the agreement for the work (the “Agreement”).

  1. Replacement Scopes

Subject to the specific products, quantities, inclusions, exclusions and qualifications expressly stated in the Final Quotation, the following generally describes the scope applicable to each replacement type.

1. Extraordinary demolition caused by concealed anchors, excessive grout, embedded steel, unusual concrete or masonry conditions or inaccessible construction is excluded from the scope, unless expressly quoted.

2. Cylinders, interchangeable cores, keying, master-keying, and key duplication are excluded from the scope and are to be supplied, installed, and configured by the customer’s locksmith or security provider.

3. Minor strike, hinge, or hardware-prep adjustments are included where reasonably required. Complete frame realignment, structural repair, re-anchoring, or correction of a frame that is not sufficiently plumb, level, or square is excluded and may result in additional charges.

4. Restoration of surrounding finishes is excluded; specifically drywall, plaster, tile, flooring, wall coverings, baseboard, millwork, painting, staining, caulking, and similar repair or finish work disturbed by frame removal or installation.

  1. Existing Frames Retained In Place

Access Installs will assess reasonably observable frame conditions during the site assessment and installation. The assessment is generally non-destructive and cannot confirm concealed anchors, internal reinforcement, hidden corrosion, grout conditions or deficiencies behind finishes or surrounding construction.

If the retained frame does not permit proper installation or reasonable operation, additional work and charges may be required. Examples include shimming, realignment, anchor repair, welding, reinforcement, filler plates, hinge or strike preparation modification, floor-clearance correction or other remedial work. If a satisfactory opening cannot reasonably be achieved with the retained frame, Access Installs may suspend work on that opening and recommend full frame replacement.

Any corrective frame work or conversion to a door, hardware, and frame replacement that is not already included in the Final Quotation will be treated as a change to the work.

  1. Existing Hardware and Components Being Reused

Existing doors, frames, hardware, wiring, access-control components and other items not supplied by Access Installs remain existing materials. Access Installs does not warrant their condition, remaining useful life or compatibility except to the extent expressly stated in the Final Quotation.

Access Installs may decline to reinstall or connect a component that is unsafe, defective, materially worn, incompatible or unsuitable. Replacement or corrective work is additional unless expressly included. Reused hardware may not operate to the same standard as new hardware, and Access Installs’ workmanship warranty does not create a product warranty for existing materials.

  1. Measurements, Handing, Clearances, and Floor Conditions

Replacement doors and frames are manufactured or selected using the field conditions confirmed by Access Installs. Where an existing frame is retained, the replacement door is sized to the measured opening rather than nominal dimensions alone.

Older or altered openings may have non-standard hinge spacing, strike locations, rabbets, stops, undercuts, clearances or hardware preparations. Modifications outside the quoted scope are additional work.

Handing, swing, active leaf, undercut and other configuration are based on the conditions confirmed during the site assessment unless changed by the Customer before material release. Customer-requested changes after material release may require replacement material and additional charges.

The Customer must disclose any planned change to wall thicknesses, coverings, plaster, protection guards, flooring, tile, carpet, coatings, thresholds or finished floor elevation before material release. Changes made after measurement may affect clearances and may require door modification, replacement material or a return visit.

  1. Fire-Rated, Egress, and Accessibility Openings

Where the Final Quotation identifies a fire-rated or other life-safety opening, the door, frame, glazing, and hardware may be required to function together as a listed or approved assembly. Access Installs may require confirmation of the applicable rating, label or design requirement before material release.

If an existing rated frame is retained, reuse is subject to its condition, label status where applicable, permitted field modifications, hardware compatibility and required clearances. Access Installs may refuse a field modification that could reasonably compromise the rating, listing or intended life-safety performance.

A change to one component may require changes to other components. Any additional component, code-driven upgrade or consultant requirement not expressly included in the Final Quotation is a change to the work.

The Customer remains responsible for ensuring that each completed fire-rated or life-safety opening satisfies the applicable rating and code requirements, including where the work combines new components supplied by Access Installs with existing components retained in place. Access Installs installs the components identified in the Final Quotation in accordance with the applicable manufacturer listings and instructions, but does not warrant the fire-rating, listing, label status or certification of any assembly that includes a retained or existing component, or any component Access Installs did not supply. The Customer is responsible for obtaining any rating confirmation, inspection, testing or approval required by the manufacturer or the authority having jurisdiction.

Unless the Final Quotation expressly states otherwise, Access Installs is not providing architectural, engineering, fire-protection, code-consulting or accessibility-consulting services, and replacement of an opening does not constitute a comprehensive code review of the building.

  1. Electrified Hardware and Access Control

Where electrified hardware is quoted, Access Installs’ responsibility is limited to the hardware and installation work specifically identified in the Final Quotation.

Unless expressly included, the work excludes 120V branch power, electrical panel work, concealed low-voltage wiring, fire-alarm wiring or integration, access-control or credential programming, network connections, building-automation integration, permits for electrical work and troubleshooting of existing systems.

The Customer is responsible for coordinating electricians, security contractors, fire-alarm contractors, IT personnel and other trades required to complete integrations outside Access Installs’ scope. Delay caused by another trade may result in a return-visit or remobilization charge.

  1. Keying, Cylinders, and Restricted Systems

Unless expressly included in the Final Quotation, cylinders, interchangeable cores, keying, master-keying, restricted key systems, key duplication and related locksmith services are excluded from Access Installs’ scope and are to be supplied, installed and/or configured by the Customer’s locksmith or security provider.

Where Access Installs supplies or installs lock hardware intended to receive a cylinder or core supplied by others, the Customer is responsible for ensuring that the cylinder, core, keyway and keying system are compatible with the specified hardware.

Access Installs is not responsible for delays, incompatibility, rekeying, programming, replacement or additional work arising from cylinders, cores, keys or restricted systems supplied or specified by others. Any modification, return visit or additional work required to accommodate such systems may be subject to additional charges.

  1. Finishes, Glazing, Thresholds, and Exterior Openings

Vision lites, glazing, glazing kits, louvers, thresholds, sweeps, seals, weather stripping and astragals are included only where expressly listed. Product or fire-rating limitations may restrict size, location, glazing type or configuration.

Unless a factory finish is specifically identified, hollow metal doors and frames may be supplied with the manufacturer’s standard primer or specified factory coating. Finish painting after installation is excluded unless expressly quoted. Natural wood and factory finishes may contain reasonable variations in colour, grain or appearance, and new products may not exactly match aged or weathered existing finishes.

For exterior openings, Access Installs’ work is limited to the quoted door-opening components. Door replacement is not remediation of the surrounding building envelope. Water infiltration, condensation or air leakage caused by walls, masonry, cladding, flashing, roofing, drainage or other building-envelope conditions outside the quoted opening is excluded.

  1. Customer Responsibilities and Site Access

The Customer must provide safe, timely and unobstructed access to the work area and must obtain all owner, landlord, property-management, security or occupant authorizations required for Access Installs to perform the work.

The Customer is responsible for disclosing before acceptance any unusual site requirement that may materially affect cost or scheduling, including mandatory after-hours work, union requirements, security clearances, lengthy orientations, infection-control procedures, escorts, restricted loading hours, special parking/loading requirements or unusual safety procedures.

Unless expressly quoted, pricing assumes ordinary commercial access, ordinary material handling and work during Access Installs’ normal installation hours. Premium labour, extraordinary parking/loading costs, specialized lifts, cranes, scaffolding or special access requirements may be additional.

  1. Concealed Conditions and Hazardous Materials

Pricing is based on reasonably observable conditions and information available when the Final Quotation is prepared. Access Installs is not responsible for concealed or latent conditions that could not reasonably be identified before removal or installation.

Examples include hidden corrosion, concealed anchor failure, damaged wall construction, inadequate backing, embedded steel, concealed wiring, excessive grout, unexpected concrete or masonry, structural interference, water damage or other conditions behind doors, frames, walls or finishes.

If suspected asbestos, lead-containing material, mould or another hazardous condition is encountered, Access Installs may suspend the affected work until the condition is assessed and, where required, remediated by qualified parties. Testing and abatement are excluded unless expressly quoted.

  1. Changes and Additional Work

A change to the work includes any change to products, quantities, dimensions, handing, hardware, site conditions, installation requirements or scope contemplated by the Final Quotation. Changes may arise from Customer requests, unsuitable retained frames, concealed conditions, altered site conditions, revised code/consultant requirements, additional openings or other conditions outside the original quoted scope.

Where reasonably practicable, Access Installs will advise the Customer of the price and schedule impact before performing material additional work. Written or electronic Customer approval is sufficient authorization for an agreed change. Additional work will be added to the Contract Price and may require additional prepayment before procurement or performance.

  1. Pricing, Taxes, and 50% Prepayment

The Contract Price is the amount shown in the accepted Final Quotation, plus applicable taxes and approved changes. Pricing remains valid only for the validity period stated in the Final Quotation.

A prepayment equal to 50% of the Contract Price is required to complete acceptance and authorize Access Installs to proceed. The prepayment will be applied against the Contract Price. Access Installs is not required to release project-specific material for manufacturing or procurement until the Agreement is binding and required payment has been received.

Once project-specific material has been released, manufactured, prepared, finished, keyed or otherwise committed, the prepayment may be applied to those costs and may be non-refundable to the extent permitted by applicable law and these T&Cs.

  1. Balance, Payment Preauthorization and Statutory Holdback

Unless the Final Quotation states otherwise, Access Installs may request preauthorization of the remaining balance approximately seven days before the anticipated installation date. The preauthorization reserves the payment method but is not intended to constitute final payment at that time.

If required preauthorization is not received approximately three days before installation, Access Installs may postpone the work and reallocate installation resources. Any resulting rescheduling or remobilization cost may be charged where reasonably incurred.

Subject to any statutory holdback or other mandatory requirement under applicable law, the unpaid balance becomes due when Access Installs’ quoted work is substantially complete. Where the Construction Act (Ontario) applies, payment, prompt-payment procedures and holdback will be administered in accordance with the Act.

The Customer may not deduct backcharges, penalties, liquidated damages or other amounts that Access Installs has not expressly accepted in writing, except where a deduction is permitted by applicable law. Unless expressly agreed otherwise, the Customer’s payment obligation is not contingent on receiving payment from another person.

  1. Procurement, Special Orders, and Product Availability

Commercial doors, frames and hardware are frequently made, prepared, finished or keyed for a specific opening. Once released, these products may be non-cancellable, non-returnable or subject to manufacturer cancellation and restocking charges.

Customer-requested changes after material release may require new products and additional charges. If a quoted product becomes unavailable or is discontinued, Access Installs may propose a reasonably comparable substitute for Customer approval. Minor manufacturer changes that do not materially affect specified function do not constitute a breach.

Risk of loss or damage to products supplied under the Agreement passes to the Customer when the products are delivered to the project site. Where project-specific products are invoiced or placed in storage before delivery, risk in those products passes to the Customer when they are invoiced, and Access Installs will hold or arrange storage of them at the Customer’s risk.

Title to products supplied under the Agreement remains with Access Installs until Access Installs has been paid in full for those products. Until title passes, the Customer will not encumber the products, and Access Installs may, on reasonable notice and where permitted by applicable law, recover products for which it has not been paid.

  1. Scheduling, Delivery, and Delay

Manufacturing lead times and installation dates are estimates until Access Installs expressly confirms an installation date. Lead times begin only after the Agreement is binding and Access Installs has all information reasonably required to release the order, including measurements, selections, keying instructions and other required approvals.

Access Installs is not responsible for delay caused by manufacturer or supply-chain delay, transportation interruption, product shortage, labour disruption, severe weather, government action, utility interruption or other circumstances beyond its reasonable control.

If installation is delayed by the Customer, denied access, incomplete prerequisite work, missing approvals, other trades, site unreadiness or non-payment, Access Installs may reschedule and charge reasonable storage, handling, redelivery, return-visit or remobilization costs. Project-specific materials may be invoiced if installation is materially delayed after procurement.

  1. Completion, Deficiencies, and Customer Use

Access Installs’ work is substantially complete when the quoted opening or openings are installed and reasonably capable of their intended ordinary use, notwithstanding minor adjustments, cosmetic touch-ups, minor deficiencies or outstanding replacement parts that do not materially prevent use.

Access Installs may document outstanding items and will use commercially reasonable efforts to complete items for which it is responsible, subject to product availability, site access and the nature of the corrective work. The Customer must provide reasonable access for correction.

Minor punch-list items do not postpone contractual substantial completion or justify withholding an amount disproportionate to the outstanding item, subject to applicable law.

  1. Damage by Others and Temporary Security

Access Installs’ labour and workmanship are covered by the Access Installs Workmanship Warranty applicable to the project, which is incorporated by reference into these T&Cs. The Workmanship Warranty governs the scope and duration of workmanship coverage, available remedies, conditions of coverage, exclusions, claims procedures and limitations applicable to any alleged defect in Access Installs’ labour or workmanship. In the event of a conflict between these T&Cs and the Workmanship Warranty concerning a workmanship warranty claim, the Workmanship Warranty will govern.

  1. Cancellation and Suspension

Before material release, a Customer cancellation will be addressed in accordance with the Final Quotation and applicable law, and Access Installs may recover reasonable costs already incurred where permitted.

After project-specific products have been released or committed, the Customer is responsible, to the extent permitted by law, for unavoidable costs including non-returnable or manufactured material, cancellation/restocking charges, freight, detailing and labour already performed.

Access Installs may suspend procurement, delivery or installation where required payments, approvals, site access or preauthorizations have not been provided. Resulting schedule impacts are not delay by Access Installs.

  1. Insurance

Access Installs will maintain Commercial General Liability insurance in an amount consistent with its ordinary business operations and applicable contractual requirements. Evidence of insurance will be provided to the Customer upon reasonable request.

Access Installs will maintain registration and coverage with the Workplace Safety and Insurance Board (“WSIB”) where required by applicable law and will maintain its account in good standing. A current WSIB clearance certificate will be provided upon reasonable request where applicable to the Project.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Access Installs will not be liable for any indirect, incidental, special, consequential or economic loss arising out of or relating to the Final Quotation, the Work or these T&Cs, including loss of profit, revenue, business, production, use, opportunity or anticipated savings.

Access Installs will be responsible only for direct loss or damage to the extent caused by Access Installs’ breach of these T&Cs, negligence, or defective workmanship within the expressly quoted scope of Work.

Access Installs will not be responsible for loss, damage, deficiency or additional cost arising from or relating to:

  • pre-existing, latent or concealed site conditions;

  • existing doors, frames, hardware, wiring, access-control components or other materials retained as part of the Work;

  • a frame that is not sufficiently plumb, level, square, securely anchored or otherwise suitable for the intended Work;

  • inaccurate, incomplete or untimely information supplied by the Customer, its consultants, contractors or other third parties;

  • products, materials, systems or work supplied, installed, altered or maintained by others;

  • acts or omissions of other contractors, trades or building occupants;

  • movement or deterioration of the building, walls, floors, structure or surrounding construction;

  • misuse, abuse, vandalism, inadequate maintenance or normal wear and tear; or

  • changes to an opening, surrounding construction or building system after Access Installs has completed its Work.

Except for amounts arising from Access Installs’ fraud or wilful misconduct, Access Installs’ aggregate liability arising out of or relating to a Project, whether in contract, tort (including negligence), warranty or otherwise, will not exceed the total amount paid or payable to Access Installs under the applicable Final Quotation.

  1. INDEMNITY

To the maximum extent permitted by law, the Customer will indemnify Access Installs and its personnel against third-party claims, losses, damages and reasonable expenses (including legal fees) arising from: the Customer’s lack of authority to authorize the work; hazardous materials or concealed conditions the Customer failed to disclose; existing components, systems or information provided by the Customer or by others on the Customer’s behalf; or the Customer’s material breach of the Agreement. This does not apply to the extent a claim is caused by Access Installs’ own negligence or wilful misconduct.

To the maximum extent permitted by law, Access Installs will indemnify the Customer against third-party claims for bodily injury or physical damage to property to the extent caused by the negligence or wilful misconduct of Access Installs or its personnel in performing the work, subject to the Limitation of Responsibility section. Each party will promptly notify the other of a claim for which indemnity is sought and will not settle it in a way that imposes liability on the other without consent.

  1. General

The person approving the Final Quotation represents that they are authorized to bind the Customer and to authorize the work at the project location.

Access Installs may take reasonable photographs and maintain measurements, field notes and project records for estimating, procurement, installation, quality control, warranty and dispute documentation. Personal information will be handled in accordance with the Access Installs Privacy Policy.

The Final Quotation, any attached schedules, these T&Cs and accepted changes constitute the entire agreement for the quoted work and replace prior discussions, estimates or representations concerning that work.

If any provision is invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law.

These T&Cs are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
